Terms of Service

LetterGenie, the software as a service website located at http://www.theLetterGenie.com (“LetterGenie” or “Service”), is a creation of Lawyerly, LLC (“Lawyerly”).

Acceptance of Terms and Conditions

IMPORTANT! THIS IS A CONTRACT BETWEEN YOU AND LAWYERLY. PLEASE READ CAREFULLLY. USE OF THIS WEBSITE CONSITUTES YOUR ACCEPTANCE OF ALL TERMS AND CONDITIONS SET FORTH BELOW. If you disagree with any of the terms and/or conditions set forth below, please discontinue use of this website immediately.

Lawyerly reserves the right to update and change the Terms of Service from time to time without notice. Any new features that augment or enhance the current service, including the release of new tools and resources, shall also be subject to the Terms of Service. Continued use of LetterGenie after any such changes shall constitute your consent to such changes. You can review the most current version of the Terms of Service at any time at: https://www.thelettergenie.com/terms_of_service.php. Violation of any of these terms may result in the termination of your use of LetterGenie.

Account Use Requirements

  1. You must be 13 years or older to use this Service.
  2. You must be a human. Accounts registered automated methods are not permitted.
  3. You must provide any information requested in order to complete the signup process.
  4. Your login may only be used by one person – a single login shared by multiple people is not permitted. You may create separate logins for as many people as needed.
  5. You are responsible for maintaining the security of your account and password. Lawyerly cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
  6. You are responsible for all content posted and activity that occurs under your account.
  7. One person or legal entity may not maintain more than one free account.
  8. You may not use the Service for any illegal or unauthorized purpose.
  9. You must not transmit any worms or viruses or any code of a destructive nature.

Payment, Refunds, Upgrading and Downgrading Terms

A valid credit card is required for paying accounts. Free trial accounts are not required to provide a credit card number. An upgrade from the free trial plan to any paying plan will end your free trial. You will be billed for your first month immediately upon upgrading.

The service is billed in advance on a monthly basis and is non-refundable. When customers upgrade or downgrade it's important they get credit for time they've already paid for, so we automatically pro-rates subscription fees. Upgrades occur immediately (upon successful payment processing).

All prices quoted are in US Dollars.

Downgrading your Service may cause the loss of content, features, or capacity of your Account. Lawyerly does not accept any liability for such loss, you are responsible for backing up content prior to an account downgrade.

Lawyerly uses Spreedly, Inc. and Authorize.net to process subscription payments.

Cancellation and Termination

You are solely responsible for properly cancelling your account. To cancel your account, please call us at (562) 219-2049. If we are unavailable, please leave a message with your name and number so we can confirm your request.

All of your content will be immediately deleted from the service upon cancellation. This information cannot be recovered once your account is cancelled, so please ensure you have made backups of any information you want to keep.

If you cancel the Service before the end of your current paid up month, your cancellation will take effect immediately and you will not be charged again.

Lawyerly, in its sole discretion, reserves the right to suspend or terminate your account and refuse any and all current or future use of the LetterGenie, or any other Lawyerly service, for any reason at any time. Such termination of the service will result in the deactivation or deletion of your account or your access to your account, and the forfeiture and relinquishment of all content in your Account. Lawyerly reserves the right to refuse service to anyone for any reason at any time.

Modifications to the Service and Prices

Lawyerlyreserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.

Prices of all Services, including but not limited to monthly subscription plan fees to the Service, are subject to change upon 30 days notice from us. Such notice may be provided at any time by posting the changes to the LetterGenie web site (www.thelettergenie.com) or the Service itself.

Lawyerly shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.

No Affiliation with 37signals

Lawyerly and LetterGenie are in no way affiliated with 37signals LLC or with Highrise. LetterGenie makes extensive use of the Highrise API for its operation. As such, you must possess a valid Highrise account and agree to 37signals LLC’s terms of service. Lawyerly will not be held responsible for changes to Highrise or to the 37signals terms of service.

Copyrights

All content included on this site, such as text, graphics, logos, button icons, images, audio clips, digital downloads, and data compilations, is the property of Lawyerly or its content suppliers and protected by United States and international copyright laws.

The compilation of all content on this site is the exclusive property of Lawyerly, with copyright authorship for this collection by Lawyerly, and protected by United States and international copyright laws.

Notwithstanding the foregoing, Lawyerly does not claim intellectual property rights over the material you provide to the LetterGenie. Your templates, files and materials remain yours. Lawyerly does not pre-screen content, but has the right (but not the obligation) in its sole discretion to refuse or remove any content that is available via the service.

Trademark

Lawyerly’s trademarks and servicemarks, including the name “LetterGenie”, may not be used in connection with any product or service that is not Lawyerly’s, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Lawyerly. All other trademarks not owned by Lawyerly or its subsidiaries that appear on this site are the property of their respective owners.

Disclaimer, Warranty, Limited Liability

THIS SITE IS PROVIDED BY LAWYERLY ON AN "AS IS" AND "AS AVAILABLE" BASIS. LAWYERLY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THIS SITE OR THE INFORMATION, CONTENT, MATERIALS, SERVICE OR PRODUCTS INCLUDED ON THIS SITE. YOU EXPRESSLY AGREE THAT YOUR USE OF THIS SITE IS AT YOUR SOLE OWN RISK. Applicable Law

By visiting LetterGenie, you agree the laws of the state of California, without regard to principles of conflict of laws, will exclusively govern these terms and conditions and that any dispute of any sort that might arise between you and the Lawyerly. You hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in the state and federal courts of California.

Conflict Resolution

The failure of Lawyerly to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and Lawyerly and govern your use of the Service, superceding any prior agreements between you and Lawyerly (including, but not limited to, any prior versions of the Terms of Service).

Any dispute relating in any way to your use of the Service or Lawyerly shall be submitted to confidential arbitration in Los Angeles, California, except that to the extent you have in any manner violated or threatened to violate Lawyerly’s intellectual property rights, Lawyerly may seek injunctive or other appropriate relief in any state or federal court in the State of Califrornia.

Arbitration under these Terms of Service shall be conducted pursuant to the Commercial Arbitration Rules then prevailing at the American Arbitration Association. The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under these Terms of Service shall be joined to an arbitration involving any other party subject to these terms, whether through class action proceedings or otherwise. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of, related to or connected with Lawyerly and/or use of the Service must be filed within one (1) year after such claim or cause of action arose or be forever banned.
